La mondialisation rend la concurrence entre les acteurs économiques particulièrement rude. Les entreprises ne peuvent plus uniquement compter sur leurs seules forces pour gagner des parts du marché ou parfois, plus simplement, pour survivre. Parmi les instruments permettant aux entreprises de subsister dans une jungle économique globalisée, la coopération entre elles est apparue comme une solution tangible. Il s’agit même de l’instrument privilégié des relations économiques internationales. Ce travail a pour vocation de guider les entreprises qui souhaitent collaborer entre elles au travers d’un partenariat. Ce partenariat prend naissance dans un accord de coopération (joint venture). Les futurs partenaires sont amenés à trouver la structure la plus apte à accueillir leur joint venture. Afin de les guider au mieux dans leur choix, une summa divisio distinguera les partenaires qui souhaitent que leur coopération soit accueillie par une société dotée de la personnalité juridique ou non. La présente étude comparera, au regard de cinq critères, ces deux types de coopération. Chaque partenariat possède cependant ses caractéristiques et ses objectifs propres. Pour cette raison, il s’agira davantage d’éclairer les partenaires sur les caractéristiques les plus intéressantes des sociétés étudiées que de donner une réponse définitive à une question qui n’en appelle pas.

This thesis analyses the project developed by SUEZ Recycling & Recovery Belgium company to study the case of the joint venture Recyc-Mattress-Belgium [RMB] and more precisely to study the Again® project mattress which is inside the joint venture RMB. This joint venture has been created four years ago by SUEZ and Recyc-Mattress-Europe company with the purpose to dismantle the old mattresses from Belgium and to sell the dismantled materials. Due to some difficulties faced by RMB, the Again® mattress has been created to used the stocks of RMB. The Again® mattress is a circular mattress containing 75% of recycled materials. Unfortunately, the Again® project has also difficulties to grow and to be viable. Therefore, the objective was to analyze and optimize the business model Canvas to make the project profitable.

This book describes the nature of public-private partnerships (PPPs) in the health sector in Vietnam. It defines health-related PPPs, describes their key characteristics, and develops a taxonomy of the different types of PPPs that exist in practice, illustrated by international examples. It also assesses the regulatory and institutional framework for the health PPP program in Vietnam, as well as financing and accountability mechanisms for PPPs at its national and subnational levels. It provides an overview of the PPP project pipeline in Vietnam and analyzes important issues in the health PPPs design, preparation, and implementation, using eight case studies involving projects in different phases of the project cycle. This book also examines barriers that have hampered the successful design and implementation of health care PPPs in Vietnam. These barriers may be broadly categorized as barriers in the PPP policy and regulatory framework, in the public sector, in the private sector, and in the financial sector. It proposes feasible and actionable recommendations so that the government can consider tackling the identified barriers and advance the successful design and implementation of health PPPs.
