Abstract

Nowadays, mergers and acquisitions (M&A) constitute a significant tool to support corporate development and maximize a firm’s inorganic growth all over the world. Since mail volume, the core business of bpost, is declining over time while value must be constantly created for shareholders, bpost needed to find new opportunities to grow. That’s why the company recently became involved in a series of acquisitions. In this context, it is essential to clarify the roles and responsibilities of all stakeholders involved in the M&A process to help the company to move to a more structured M&A approach. To do so, the purpose of this project-thesis is to design the guidebook of the M&A to-be process at bpost, detailing its six phases and making recommendations to reduce the gaps between the as-is situation and the to-be process.

Abstract

Not only the downturn in the volumes of classical mail sent, but also the upsurge in the ecommerce sector mark the genesis of a new era for bpost. Indeed, even if historically, the major part of its activity was based on the letter, its future can be found in the parcel sector. In order to come with this movement, the central management decided to launch a reorganization: the vision 2020. This implies the creation of a new sorting center, specialized in the handling of packages, located in Brussels. The ambition behind this accommodation is to enhance the service provided to its major professional clients while cutting major costs.

After the inauguration of this contemporary site, in September 2017, bpost will call for redesigned transport processes that would minimize its general costs with respect to the operational constraints. As the company craves to expand its market share on this industry, a keystone will be the time slot between the procurement and the delivery of the parcel, which will have to be shorten as much as possible.

This thesis aims to present the new routes that would be optimal for the conveyance of the miscellaneous products within the area of Liège|Luxembourg. The objective aforementioned is mainly based on the intensive use of an optimization software, AMCS Transvision Route Planner. For the sake of enabling these plans to be flexible, additional fictional places are reserved in the trucks. In order to support these itineraries, a convenient modus operandi for their implementation will be put forward. Finally, this conduces to insights of potential designs of the company’s future operations regarding the challenging combination of great dilemmas and its forceful ambition.
