Abstract

Data has become a key factor for the competitiveness of private and state actors alike. Personal data in particular fuels manifold corresponding data ecosystems – in many cases based on the disclosure decision of an individual. This volume presents the proceedings of the bidt "Vectors of Data Disclosure" conference held in Munich 2022. The contributions give comparative insights into the data disclosure process – combining perspectives of law, cultural studies, and business information systems. The authors thereby tackle the question in which way regulation and cultural settings shape (or do not shape) respective decisions in different parts of the world. The volume also includes interim results of the corresponding bidt research project – including in-depth reports covering the regulatory and cultural dimensions of data disclosure in eight different countries / regions worldwide, a business information systems model of the disclosure decision process, and empirical studies. The volume thereby lays the ground for interdisciplinary informed policy decisions and gives guidance to stakeholders.

Abstract

Mit dem Data Governance Act (DGA) hat sich der europäische Gesetzgeber für eine strenge Regulierung von Datenvermittlungsdiensten entschieden. Anbieter von Datenvermittlungsdiensten werden durch Art. 10-15 DGA verpflichtet, sich vor der Aufnahme ihrer Dienste bei einer zuständigen Behörde anzumelden und umfangreiche Vorgaben an die Erbringung ihrer Dienste einzuhalten. Ziel dieser Vorschriften ist es, das Nutzervertrauen in Datenvermittlungsdienste zu stärken und dadurch Anreize für den vertrauensvollen Datenaustausch zwischen Privatpersonen, Unternehmen und staatlichen Einrichtungen zu setzen. Die vorliegende Arbeit unternimmt die bislang umfassendste Untersuchung der Art. 10-15 DGA im Hinblick auf B2B-Datenvermittlungsdienste. Vor dem Hintergrund der Zielsetzungen der europäischen Datenstrategie sowie der ökonomischen Besonderheiten von B2B-Datenmärkten und Datenvermittlungsdiensten werden die Art. 10-15 DGA detailliert ausgelegt und aus rechtsökonomischer Perspektive bewertet.

Abstract

For the last two decades data protection regulatory models in the African continent were highly inspired by foreign ones – mostly by the European Union’s models. Recently, regulatory diversions can be spotted – reaching from strict(er) regulation on data sovereignty and data localisation to hybrid data protection and data governance approaches. Against this background, this volume presents the proceedings of the conference on "African Data Protection Laws: Regulation, Policy, and Practice" held in Accra, Ghana in 2022. The contributions undertake deep dives into the data protection and data governance development on the African continent – providing insights by distinguished scholars and experts in the field and tackling current trends, laws, regulations, and policies. The contributions narrate the unique African journey and lay the ground for interdisciplinary informed policy decisions, guide stakeholders, and also provoke future research towards a potential Pan-African data (protection) governance framework in Africa.

Abstract

Abstract

"When deciding how and where to resolve disputes that have or may arise parties in international civil and commercial relationship make agreements separate from the main contract which determine either the choice of court or the form and procedure arbitration will take. Both types of agreement have specific contractual requirements for their formation, incorporation and validity, provide certainty for commercial parties, have the prorogation effect to make the chosen forum competent and have the derogation power to deprive any otherwise competent fora their jurisdiction. Because of the similarities between the two types of procedural autonomy agreements, they are often treated in a similar way by courts and practitioners. The Convention on the Recognition and Enforcement of Foreign Arbitral Awards, also known as the New York Convention which requires the courts of contracting States to give effect to private agreements to arbitrate as well as recognizing and enforcing arbitration awards made in other contracting states has proved very successful since it entered into force in 1959. In 2005 the Hague Convention on Choice of Court Agreements was concluded and opened for ratification. This aims to become the litigating counterpart to the New York Convention and it is presumed that since exclusive jurisdiction clauses have similar functions to arbitration agreements that the Hague Choice of Court Convention should achieve similar success. This book offers a systematic and comparative study on the prerequisites, effectiveness, and enforcement of exclusive jurisdiction and arbitration agreements in international dispute resolution in order to determine whether the clauses have the identical effects in private international law. The book also investigates whether they have or should be given the same treatment by most countries in the world. The book compares the treatment of jurisdiction and arbitration clauses in the US, China, the UK and the EU with the use of empirical evidence to demonstrate how in practice exclusive jurisdiction and arbitration agreements are enforced. In light of all this the book considers whether the Hague Convention could be treated as a litigating counterpart of the New York Convention and whether it could work successfully to facilitate judicial cooperation and party autonomy in international commerce"-- "Arbitration and jurisdiction agreements are frequently used in transnational commercial contracts to reduce risk, gain efficacy and acquire certainty and predictability. Abstract

The risk-based approach to capital markets regulation is in crisis. Climate change, shifting demographics, geopolitical conflicts and other environmental discontinuities threaten established business models and shorten the life spans of listed companies. The current rules for periodic disclosure in the EU fail to inform market participants adequately. Unlike risks, uncertainties are unquantifiable or may only be quantified at great cost, causing them to be insufficiently reflected in periodic reports. This is unfortunate, given the pivotal role capital markets must play in the economy’s adaptation to environmental discontinuities. It is only with a reformed framework for periodic disclosure, that gradual and orderly adaptation to these discontinuities appears feasible. To ensure orderly market adaptation, a new reporting format is required: scenario analysis should be integrated into the European framework for periodic disclosure.
