Abstract

Using data from a field experiment in 500 villages, this paper studies how local institutions affect the quality of governance, as measured by aid distribution outcomes. In villages where elected councils exist and manage distributions, aid targeting improves. However, if the distribution is not clearly assigned to either the council or customary leaders, the creation of elected councils increases embezzlement and makes decision-making less inclusive. Requiring that women manage the distribution jointly with customary leaders also increases embezzlement. Thus, while elected councils can improve governance, overlapping mandates between new and existing institutions may result in increased rent-seeking.

Abstract

This edited volume contains original papers examining issues concerning the effects of national and international institutional factors on corporate governance and performance. This volume stresses the relevance of national business systems (including culture, law and politics) alongside industrial and institutional infrastructure to assess the efficacy of corporate governance regimes. Modern governance research redefines the boundaries of the firm to include a wider group of stakeholders beyond stockholders. Newer research indicates that national context is the over-riding element in understanding corporate governance regulation and outcome. In the Anglo-Saxon world, corporate governance is designed to reduce the conflict of interest that exists between owners and managers occasioned by the separation of ownership and control. The divergence in national business systems has led scholars to question whether the rush to adopt US-style regulation internationally is appropriate. The papers in this volume highlight aspects of institutional context in different countries, ranging from traditional corporate governance mechanisms at the firm level, to issues affecting the country level quality of corporate governance, including culture and the role of elites.

Abstract

Although much consideration has been given to the relationship between a corporation and its stakeholders, less attention has been given as to who those stakeholders might consist of. Nevertheless in this globalised world the effects of the actions of a corporation can been seen to extend far beyond the boundaries of the organisation and far beyond the countries in which that corporation is domiciled or operates. Indeed not only can a butterfly flapping its wings cause a hurricane in another part of the world but also a minor decision by a corporation can have a dramatic social, economic or geopolitical impact in other parts of the world. Thus the stakeholder community of a corporation must be considered as far greater than its voluntary stakeholders, far greater than its internal stakeholders and far greater than its supply chain and value chain. This has considerable implications for the corporation and its approach to both its operations and its sense of corporate responsibility. Too often this is not considered or even recognised so in this book we take the widest definition of stakeholders and consider aspect of the corporation's responsibility to this community.

Abstract

Studies in Public and Non-Profit Governance (SPNPG) publishes double-blind peer reviewed articles in a growing area of governance research. The series focuses on the 'micro' level of governance in public and non-profit sector. Compared to the wider debate on corporate governance in the private sector and to the literature on the 'macro' and 'meso' levels of governance in the public sector, the organizational (micro) level of governance remains a neglected area of governance in the public and non-profit sector. Therefore, governance systems, mechanisms and roles are primarily investigated at organizational level. SPNPG allows for the establishment of an engaged community of researchers very active in the field. It aims to contribute to the definition of the theoretical components that assign an innovation role to governance systems in public and non profit organizations. It also highlights the opportunity for a deeper analysis of governance mechanisms in their relationships with both the external (stakeholders) actors and the internal (management) actors and address the conditions which enable governance mechanisms to effectively cover their own roles.

Abstract

Corporate social responsibility (CSR) has become an increasingly heated topic since the 1980s. But there are severe limitations with the concept of CSR and the effectiveness of CSR practices. Addressing such limitations, this volume proposes that the concept of Corporate Social Irresponsibility (CSI) offers a better theoretical platform to avoid the vagueness, ambiguity, arbitrariness and mysticism of CSR. It challenges conventional modes of thinking, unveils the CSR mask of business practices and redirects public attention to the core issues of CSR. This collective work sets up an initial theoretical framework for the subject of CSI and examines the fundamental reasons for irresponsibility in and beyond a corporate context. Rooted in theory and practice it seeks to understand how boundaries of CSR and CSI have been constructed in society, and explores some systemic and structural issues of CSI in practice.
