This edited volume contains original papers examining issues concerning the effects of national and international institutional factors on corporate governance and performance. This volume stresses the relevance of national business systems (including culture, law and politics) alongside industrial and institutional infrastructure to assess the efficacy of corporate governance regimes. Modern governance research redefines the boundaries of the firm to include a wider group of stakeholders beyond stockholders. Newer research indicates that national context is the over-riding element in understanding corporate governance regulation and outcome. In the Anglo-Saxon world, corporate governance is designed to reduce the conflict of interest that exists between owners and managers occasioned by the separation of ownership and control. The divergence in national business systems has led scholars to question whether the rush to adopt US-style regulation internationally is appropriate. The papers in this volume highlight aspects of institutional context in different countries, ranging from traditional corporate governance mechanisms at the firm level, to issues affecting the country level quality of corporate governance, including culture and the role of elites.

Although much consideration has been given to the relationship between a corporation and its stakeholders, less attention has been given as to who those stakeholders might consist of. Nevertheless in this globalised world the effects of the actions of a corporation can been seen to extend far beyond the boundaries of the organisation and far beyond the countries in which that corporation is domiciled or operates. Indeed not only can a butterfly flapping its wings cause a hurricane in another part of the world but also a minor decision by a corporation can have a dramatic social, economic or geopolitical impact in other parts of the world. Thus the stakeholder community of a corporation must be considered as far greater than its voluntary stakeholders, far greater than its internal stakeholders and far greater than its supply chain and value chain. This has considerable implications for the corporation and its approach to both its operations and its sense of corporate responsibility. Too often this is not considered or even recognised so in this book we take the widest definition of stakeholders and consider aspect of the corporation's responsibility to this community.

This book is about governing well for the future. It investigates the nature of, and the conditions for, prudent long-term democratic governance in a dynamic, complex, and uncertain world, the reasons why such governance is politically challenging, and how such challenges can best be tackled. In particular, it addresses the problem of 'short-termism' or a 'presentist bias' in policy-making; that is, the risk of governments placing undue weight on near-term considerations at the expense of a society's overall long-term welfare. As such, the book traverses both normative and empirical issues. The approach is primarily qualitative rather than quantitative.

This volume examines the word that's on everybodys lips in business, in government and in society - sustainability. There are of course many aspects of sustainability which might be considered to reflect Brundtlands three pillars of economic, environmental and social sustainability. Others of course have different definitions which include such things as governance or supply chain management. Nevertheless business has recognised the significance of the concept and is responding by developing strategies to cope, although some would say that this is little more than window dressing. The debate continues however as to just what is meant by the term sustainability as far as business is concerned and how can this be achieved. The relationship between economic or social or political activity and risk is widely recognised at a societal level, a market level and a business level, and equally widely discussed. The relationship between governance and risk at all of these levels is equally widely recognised but much less widely discussed. But the consequences of poor governance in this arena have been exposed to all in the recent financial and economic crisis as financial institutions and even countries have collapsed or come close to collapsing. The relationship between governance and risk is particularly important in the global environment in which we operate and needs to be more fully discussed and theorised.
