Au coeur du droit des contrats, la tacite reconduction inspire de façon paradoxale un double sentiment de confiance et de méfiance. Confiance, parce qu'elle évoque la renaissance d'une convention et sa stabilisation. Méfiance, parce qu'étant tacite, la reconduction pourrait renfermer bien des pièges, notamment celui de réengager l'une des parties contre son gré. C'est en tentant de protéger celle-ci que le droit français s'est éloigné de la conception classique de la tacite reconduction.Cette étude vise à cerner la notion, insuffisamment explorée, de tacite reconduction à travers la ligne directrice du rôle de la volonté des parties et à dégager son régime juridique dans la plupart des contrats civils et commerciaux.La réflexion est ainsi menée à partir du contrat initial, en examinant s'il contient ou non des éléments de réponse.Dans une première hypothèse, les parties n'ont pas expressément manifesté leur intention sur le sort des relations post-terminales. La question du fondement de la tacite reconduction touche alors au débat relatif à la manifestation tacite de volonté.Dans une deuxième hypothèse, les parties se sont expressément prononcées sur le sort de leurs relations post-terminales en insérant dans le contrat soit une clause de tacite reconduction ou de prorogation, soit une clause de non-tacite reconduction. L'étude approfondie de la technique de ces clauses ainsi que de leur efficacité constitue un outil de travail précieux pour les juristes et notamment les praticiens.
