This book contains the results of a study of workers' rights to information, consultation and participation in EU and national law covering cross-border mergers, which was undertaken by the ETUI’s GOODCORP network of academic and trade union experts on company law and corporate governance. Based on an analysis of available statistics, nine national legal regimes and seven case studies, this book argues that the provisions for workers’ rights under the Directive are inadequate, both during the merger procedure and in the new post-merger entity. It remains to be seen whether the deficits identified in this study can be successfully addressed by the implementation of the EU Company Law Package, a new legislative initiative regulating different types of cross-border reorganizations.

This report details shifts in trade union membership and density in 32 European countries since 2000, with a particular focus on the age structure within trade unions. The report uncovers substantial variations in unionisation rates, with the least unionised countries in the 2000s having largely stayed at the bottom of the ‘unionisation league’ in the 2010s and countries with higher incidences maintaining their positions further up. Overall, however, membership and density rates are declining in most countries, particularly Central and Eastern Europe, and they are also ‘greying’. With the loss in membership going hand in hand with a decrease in revenues, it remains to be seen how and to what extent trade unions will address the membership and generational challenges.

This collected volume aims to inform and advance the debate on how to achieve a more social and sustainable Europe. Its four chapters and a conclusion address the nature of Europe, the future of the European Union and the political and economic development of the continent. The book argues that strong and assertive trade unions are the most reliable representatives of working people; however they need to change and evolve in order to be able to combat Europe’s growing populism.

The aim of this book is to trace the history of the social dialogue, from its origins to its autonomous empowerment, based on the testimonials of those responsible for designing and developing it, looking at the various texts from joint opinions to autonomous agreements, and analysing how the social dialogue functions. It thus offers a ‘human’ perception of the way the social dialogue was constructed, a construction resulting from many meetings, but also, despite all the tensions, from a shared will at a certain point in time to create a common good in the dynamic context of constructing Europe. The book covers the period from 1985 to 2003, during which time the author was responsible for the social dialogue at the European Trade Union Confederation.

Should companies primarily serve the interests of shareholders, or are they responsible to a broader set of stakeholders, including their own workers? The financial crisis has exposed the deficits of the current regulatory framework for companies, as it prioritizes short-term shareholder value at the expense of the long-term interests of stakeholders.
