Das Aktiengesetz 1965 feiert 2015 seinen fünfzigsten Geburtstag. Dieses Jubiläum bot den Anlass, im Rahmen eines Symposions die bewegte Entwicklungsgeschichte dieses für die Ordnung der Volkswirtschaft so besonders wichtigen Gesetzes in den Blick zu nehmen. Am Anfang eines jeden Referats sollte dabei der Rückblick auf die Ursprünge der gesetzlichen Regelung stehen, um sodann auf der Grundlage der folgenden Entwicklungslinien einen Ausblick auf künftige Herausforderungen zu wagen. Zu diesem Zweck hat sich im März 2015 die erste Liga der Aktienrechtswissenschaft am Geburtsort des AktG 1965 in Bonn versammelt, um dort die drängendsten Fragen zu diskutieren, die das Aktiengesetz in Zukunft zu beantworten hat. Das innere Organisationsgefüge der Aktiengesellschaft, ihre Organe und deren Zusammenspiel, werden dabei ebenso in den Blick genommen wie das Regelungsumfeld der Aktiengesellschaft, die Bezüge zum Konzern- und zum Kapitalmarktrecht sowie das europäische Umfeld. On the 50th anniversary of the German Stock Corporation Act, which was originally ratified in 1965, leading legal scholars met at the birthplace of the law in Bonn to discuss current pressing challenges in this area of law. The results of the discussion, assembled in these conference proceedings, extend far beyond the confines of stock corporation law.

Understanding the challenges of corporate governance is central to our comprehension of the economic dynamics driving corporations today. Among the most important institutions in capitalism today, corporations and joint-stock companies had their origins in Europe during the seventeenth and eighteenth centuries. And as they became more prevalent, the issue of internal governance became more pressing. At stake-and very much contested-was the allocation of rights and obligations among shareholders, directors, and managers. This comprehensive account of the development of corporate governance in Britain and Ireland during its earliest stages highlights the role of political factors in shaping the evolution of corporate governance as well as the important debates that arose about the division of authority and responsibility. Political and economic institutions confronted similar issues, including the need for transparency and accountability in decision making and the roles of electors and the elected, and this book emphasizes how political institutions-from election procedures to assemblies to annual reporting-therefore provided apt models upon which companies drew readily. Filling a gap in the literature on early corporate economy, this book provides insight into the origins of many ongoing modern debates.

Is there any truth in the story that the morality of the servants of the Dutch East India Company in the eighteenth century was so rotten that one should believe the Dutch maxim ‘Vergaan Onder Corruptie’ – in translation something like ‘Succumbed to Corruption’ – and use this as an explanation for a very complex phenomenon? Chris Nierstrasz introduces us in his In the Shadow of the Company , to the realities of the decision makers and of the servants in the field. Responding to the changing realities in Asia, the Company could only try to use the mercantile potential of its higher echelons to postpone its downfall. In a situation in which the directors were not able to increase investment from Holland, the servants in Asia were forced to take up the challenge.
