Abstract

Board gender diversity has improved across all regions over the last two decades. In the early 2000s, there were only a handful of countries in Western Europe where women held more than ten percent of board seats. Today, many countries exceed the double-digit threshold. There is also increasing awareness among businesses, governments, institutional investors and the public about the need to build more inclusive workplaces in general, all the way up to the highest echelons of management and directorships. Diversity can provide benefits to firms and raises both the quantity and quality of female leadership. This study focuses on six countries in the ASEAN region, and includes one regional non-ASEAN member, China, to provide a point of comparison. Most of these countries have made important strides towards achieving greater gender diversity in the boardroom.

Better Governance Across the Board is a practical guide for achieving good corporate governance of organizations regardless of whether they are for profit, listed, state-owned, family owned, or widely held. It delves into the questions boards must ask if they are to fulfill their fiduciary duties, taking account of regulatory issues. Part 1 defines corporate governance, explaining the four reasons why it matters and how it applies to a wide range of organizations. Part 2 explores the "Five P" framework of Purpose, Principles, Power, People, and Processes that helps boards to create sustainable value. Part 3 concludes by showing how the organization's long-term "license to operate" is achieved by boards focusing on the three most important assets of the organization: its reputation; its people, and its processes. This book explores the dilemmas that currently exist in modern approaches to corporate governance and suggests ways of overcoming them. Based on ten years of teaching more than 1,500 directors of publicly listed companies, it integrates key principles of leadership, ethics, branding, and governance into a unique five-factor framework to help directors make good decisions in strategy, risk management, succession planning, internal controls, and stakeholder engagement. Abstract

This Technical Note assesses the corporate governance of state-owned enterprises (SOEs) in Azerbaijan with a view to supporting the government's efforts to bolster economic development. Mutually reinforcing recommendations are closely linked and aim to increase accountability across the whole ownership structure of SOEs, from their ultimate owners, the citizens, to their employees. The Note outlines international good practice, summarizes current practices in Azerbaijan, and indicates areas for consideration to improve SOE corporate governance in Azerbaijan. The Note was prepared by a World Bank Group team, based on research and consultations during January - October 2017, to (i) analyze current SOE governance frameworks and practices in Azerbaijan and identify main deviations from international good practices; and (ii) develop a series of policy recommendations for further reforms in strengthening SOEs governance and improving their effectiveness. This work may serve as a basis for further collaboration between the World Bank and the Government of Azerbaijan towards SOE reform and related policy considerations. Given the significance of SOEs and a range of important socio-economic and political-economy related factors, improving SOEs governance in Azerbaijan is a significant challenge. Implementation of any of the recommendations contained in this Note should form part of a broader strategy for SOEs linked to economic and sector strategies in Azerbaijan. This Note aims to build on the priorities outlined by the Strategic Roadmaps for the national economy and main economic sectors of Azerbaijan for 2016-2020, signed by the President of Azerbaijan on December 6, 2016. The Roadmaps re-affirm Azerbaijan's priorities in diversification of its oil-dominant economy, reduce the State's participation in the existing state-owned enterprises, and enable more private sector led growth.

Small and medium enterprises (SMEs) share distinctive challenges that require specific governance practices. This guidebook presents a tailored governance framework with structures, policies, and practices that mitigate the risks and support sustainable growth of business while recognizing the resource constraints typical of SMEs. The objective of this guidebook is to help SME entrepreneurs and their investors develop a highly tailored governance improvement plan to support sustainable growth of their companies. The SME governance methodology in this guidebook represents a governance innovation by tailoring specific recommendations to the evolutionary stages of SME growth: stage one: start-up; stage two: active growth; stage three: organizational development; and stage four: business expansion. This guidebook provides an international perspective - focusing on characteristics that are common to small and midsize businesses in many different countries. Guidebook is structured as follows: chapter one, SME governance: what is it? why is it important? explains what corporate governance is and how it differs for SMEs. Chapter two, SME governance framework defines the stages of growth for SMEs as well as governance-related risks and opportunities associated with each stage. Chapter three, key governance topics and leading practices takes a deep dive into select governance concepts and practices for each of the five governance topics. Appendix, SME governance action planning tool distills the key recommendations of the SME guidebook and presents them in the form of worksheets to help identify high-priority actions appropriate to your SME's stage of growth.

Abstract

The International Finance Corporation (IFC), a member of the World Bank Group is the biggest global development institute focusing its activities on the private sector in developing and transition economies. The IFC creates opportunities for improving the quality of life and reducing poverty. The IFC Corporate Governance Project was launched in 2008 to assist joint stock companies (JSC ) in the Kyrgyz Republic to improve their corporate governance, as well as to strengthen capacity of JSC s for attracting investment. This project is the result of a logical extension of the IFC Corporate Governance Program in Central Asia launched in Kazakhstan in 2006 and in Tajikistan in 2007. The project aims to improve corporate governance practices in JSC s including banks. As part of the project, the project team works to involve in governmental working groups in legislative and enforcement reform in the area of corporate governance in the Kyrgyz Republic. To raise awareness of the population on issues relating to corporate governance, the project conducts the campaigns to inform the wider public of the latest trends in improving corporate governance practices. This IFC Central Asia Corporate Governance Project is supported by the Netherlands-IFC Partnership Program.
