Abstract

Abstract

In this study, we investigate the effects of board composition on M&A value creation and the importance of having outsiders on the board. More specifically, we investigate Merger and Acquisition (M&A) returns and try to find a level of independent and strictly independent board members which is optimal. We find that the effects of the level of independent and strictly independent board members depend on the time frame which is investigated. In the very short term, the fraction of strictly independent directors plays the most important role, with an optimal fraction of 37 %. However, this result does not prove to be robust. In the longer term, it was mainly the fraction of independent directors that affected the M&A returns. The optimal fraction of independent members on the board in this case is 75%. We also test the effects of managerial stock ownership on M&A returns, but we find no significant results for this variable.
