Abstract

This work represents a systematic and practical analysis of the relevant rules, matter and terminology of international sales law. Written for practitioners as well as researchers and students the manual offers a comprehensive and in-depth overview of the relevant legal international and national regulations, taking into account the practice-relevant topics and the relevant soft law regulations. The international and comparative law character of the work is reflected in the consideration of such international regulations such as the CISG, the Principles of European Private Law (PECL), the Principles of International Commercial Contracts (UNIDROIT principles) and the proposal to create a common European Sales law (GEK) from the year 2011. In addition, an overview of the differences in terms of the purchase option between common law and civil law jurisdictions and between each important national right is offered.

Abstract

Updated and expanded for the second edition, this volume provides attorneys, academics and students with a detailed yet accessible overview of the United Nations Convention on Contracts for the International Sale of Goods (CISG). Adopted by more than eighty nations and governing a significant portion of international sales, the CISG regulates contract formation, performance, risk of loss, conformity to contractual requirements and remedies for breach. This volume explains the CISG doctrines and their ambiguities, and appraises the extent to which the doctrines reduce transaction costs for commercial actors. Its topic-based approach will be ideal for those pursuing academic analysis or subject-specific research.

Abstract

Contractual Knowledge: One Hundred Years of Legal Experimentation in Global Markets, edited by Grégoire Mallard and Jérôme Sgard, extends the scholarship of law and globalization in two important directions. First, it provides a unique genealogy of global economic governance by explaining the transition from English law to one where global exchanges are primarily governed by international, multilateral, and finally, transnational legal orders. Second, rather than focusing on macro-political organizations, like the League of Nations or the International Monetary Fund, the book examines elements of contracts, including how and by whom they were designed and exactly who (experts, courts, arbitrators, and international organizations) interpreted, upheld, and established the legal validity of these contracts. By exploring such micro-level aspects of market exchanges, this collection unveils the contractual knowledge that led to the globalization of markets over the last century.

Abstract

Now in force in over 80 countries, the Convention on the International Sale of Goods (CISG) is one of the most successful and wide-reaching attempts to unify legal instruments for international commerce. As global sales transactions increase, the CISG's range of influence in international practice has significantly expanded, potentially governing 80% of world trade. In addition to the growing case law, the volume of case law reporting and scholarly writing on the Convention and its provisions and problems has increased dramatically. The Convention also continues to influence legislators on the international as well as the domestic level. This is the fourth edition in English of the Commentary on the United Nations (UN) Convention on the International Sale of Goods (CISG). Since the publication of the first edition in 1998, the book has become an invaluable source for the comprehension and discussion of the Convention, frequently cited by legal writers, tribunals, and courts all over the world. Thoroughly revised to reflect the growth and complexity of case law relating to the Convention, the book also considers new developments in the field of the CISG, particularly the accession of Brazil to the Convention. It also assesses all relevant scholarly writing on the CISG since 2009, with a special emphasis on the opinions issued by the CISG Advisory Council that are being considered as persuasive authority by courts and tribunals across the globe. Written by an international team of contributors, this book provides expert analysis, and combines judicial and scholarly views from numerous jurisdictions. This is the most comprehensive and authoritative commentary on the CISG, and an invaluable resource for scholars and practitioners alike.

Abstract

This is the sixth edition of the leading work on transnational and comparative commercial and financial law, covering a wide range of complex topics in the modern law of international commerce, finance and trade. As a guide for students and practitioners it has proven to be unrivaled. The work is divided into three volumes, each of which can be used independently or as part of the complete work.Volume one covers the roots and foundations of private law; the different orientations and structure of civil and common law; the concept, forces, and theoretical basis of the transnationalisation of the law in the professional sphere; the autonomous sources of the new law merchant or modern lex mercatoria, its largely finance-driven impulses; and its relationship to domestic public policy and public order requirements.Volume two deals with transnational contract, movable and intangible property law.Volume three deals with financial products and financial services, with the structure and operation of modern commercial and investment banks, and with financial risk, stability and regulation, including the fall-out from the recent financial crisis and regulatory responses in the US and Europe. All three volumes may be purchased separately or as part of this set.
