This book analyses the theory of efficient breach in English sales law, European Union contract law and Chinese contract law. It analyses the framework of the efficient breach theory and reconsiders the implications of this theory. According to the traditional efficient breach theory, the remedy of expectation damages is able to motivate efficient breach, which brings the breaching party economic surplus without making the non-breaching party worse off. The essential problems are how to motivate contract parties to make rational decisions and how to solve cases where performance of a contract turns out to be less efficient after its conclusion. The second part of the book further extends the efficient breach theory to the study of contract law systems by analysing how exactly those laws react to breach and what solutions are adopted by them.The comparison of these three systems is more than a mere description of the differences and similarities in the content. More importantly, this comparative research also analyses whether or not the differences between these systems will influence the level of efficiency produced by each legal system by taking account of the different traditions and the concepts of contracts involved in each legal system. Researchers in contract law will also be interested in this approach, particularly for re-thinking the question of whether one legal system is definitely better or worse than the other two.

This paper discusses key findings and recommendations of the Detailed Assessment of Observance of the CPMI–IOSCO (Committee on Payments and Market Infrastructures–International Organization of Securities Commissions) Principles for Financial Market Infrastructures in Bosnia and Herzegovina. Major achievements have been made in modernizing the payment system. Resiliency of the interbank payment system was demonstrated against the severe floods of May 2014. The currency board arrangement has helped protect the payment system from credit risks. The formal assessment of the real-time gross settlement system suggests that many of the standards are observed. The legal basis is relatively sound, but finality and netting arrangements require greater legal certainty and protection at the law level.

De contractsoverdracht is een vaak gebruikte figuur in de praktijk. Zo gaat bijvoorbeeld de overdracht van de handelszaak vaak gepaard met de overdracht van de (lopende) contracten die belangrijk zijn voor de exploitatie van de handelszaak. Bovendien zijn er steeds meer wettelijke toepassingen van de contractsoverdracht terug te vinden in het Belgische recht. Zo bestaat er een wettelijke regeling voor de huuroverdracht (art. 1717, art. 1743 BW, art. 4 Woninghuurwet en art. 10-12 Handelshuurwet), de pachtoverdracht (art. 30, 34 en 55 Pachtwet), de overdracht van de reisovereenkomst (art. 12 Reisovereenkomstenwet), de overdracht van de consumentenkredietovereenkomst (art. VII.102-104 WER), de overdracht van een portefeuille van verzekeringsovereenkomsten (art. 17-18 Wet betreffende de verzekeringen) of de overgang van de arbeidsovereenkomsten bij overgang van de onderneming (artikel 7-8 CAO nr. 32bis). Ondanks de praktische relevantie van de rechtsfiguur, kreeg de contractsoverdracht vooralsnog weinig aandacht in het Belgische recht. Bovendien hebben ook de regels van de wettelijke toepassingsgevallen slechts een beperkt en fragmentair karakter. Dit werk biedt een algemene en omvattende theorie van de contractsoverdracht.In het eerste deel wordt de contractsoverdracht als zelfstandige rechtsfiguur theoretisch onderbouwd. Centraal in deze analyse staat de contractuele verhouding als voorwerp van de contractsoverdracht. De nadruk ligt daarbij op de specificiteit van de contractuele verhouding in vergelijking met (de som van) de contractuele schuldvorderingen en schulden. Tegelijk worden de contractsoverdracht enerzijds en de cessie ( overdracht )van schuldvordering en de schuldoverdracht anderzijds, duidelijk van elkaar onderscheiden. In het tweede deel komt het juridisch regime van de contractsoverdracht aan bod. Wat betreft de totstandkoming van de contractsoverdracht wordt ruime aandacht besteed aan de toestemming van de wederpartij als geldigheidsvereiste van de contractsoverdracht en wordt de theorie van de zogenaamde ‘onvolmaakte’ contractsoverdracht kritisch geanalyseerd. Vervolgens worden de gevolgen van de contractsoverdracht (bevrijding van de overdrager, doorwerking van verweermiddelen, lot van de zekerheden) in detail besproken.
