The Unidroit Principles are a restatement of the law applicable to international commercial contracts that have been developed on the basis of an innovative comparison of the leading contract laws. As such, their authority rests on the standing of UNIDROIT, the institution responsible for their preparation, and on the quality of the rules they propose. This book provides a comprehensive in-depth analysis of the foundations of, and justifications for, an application of the Unidroit Principles. Abstract

This book is the first ever comprehensive analysis of the scope and role of the exemption clause in Article 80 of the International Sales Convention (CISG). The book accounts for the historical background of Article 80, the relation to other provisions (Articles 77 and 79), the underlying principles and the connection to good faith, and argues that the provision is an expression of the duty to cooperate. Furthermore, the conditions for applying the exemption rule and the legal consequences of application are clarified to the benefit of any practitioner. A chapter on homeward trends points out some of the challenges that Article 80 poses to international uniformity. Extensive comparisons to UPICC and PECL are carried out. The book is relevant to scholars, adjudicators and practitioners alike.

Abstract

This book is the product of extended research by five scholars working in the area of private international law. It provides a comprehensive review and analysis of the jurisprudence surrounding the United Nations Convention on Contracts for the International Sale of Goods (CISG). As of 1st January 2004, 62 countries have adopted the CISG as their countries' international sales law. Since the introduction of the CISG fifteen years ago, a critical mass of interpretive jurisprudence has developed, and, given its importance now as the world's preeminent sales law, the authors believed that a fresh analysis of the evolving case and arbitral law was now needed. The analysis in the book is undertaken at two levels - the practical interpretation of the CISG and the theoretical limits of interpretation of supranational conventions.

Abstract

In 1980, the United Nations Convention for the International Sale of Goods (CISG) came into being as an attempt to create a uniform commercial sales law. This book, first published in 2007, compares two major restatements - the UNIDROIT Principles and the Principles of European Contract Law (PECL) - with CISG articles. This work has gathered scholars and legal practitioners from twenty countries who contribute analysis on the various issues covered in the articles of the CISG comparing them with how the issue is treated in the UNIDROIT and PECL restatements.The introductory section of the book addresses theoretical and practical issues of the appropriate interpretive methodology as mandated in CISG Article 7 and it is followed by individual analyses of the Convention's provisions.

Abstract

This book brings together the top international sales law scholars from twenty-three countries to review the Convention on Contracts for International Sale of Goods (CISG) and its role in the unification of global sales law. It reviews the substance of CISG rules and analyzes alternative interpretations. A comparative analysis is given of how countries have accepted, interpreted, and applied the CISG. Theoretical insights are offered into the problems of uniform laws, the CISG's role in bridging the gap between the common and civil legal traditions, and the debate over good faith in CISG jurisprudence. The book reviews case law relating to the interpretation and application of the provisions of the CISG; analyzes how it has been recognized and implemented by national courts and arbitral tribunals; offers insights into problems of uniformity of application of an international sales convention; compares the CISG with the English Sale of Goods Act and places it in the context of other texts of UNCITRAL; and analyzes the CISG from the practitioner's perspective.
