Abstract

At first sight, EVS Broadcast Equipment was just facing a high staff turnover and a low employee engagement rate. However, analyses showed the company was going through a deep HR issue which was related to HR metrics and talent management. It was decided to implement hard HR metrics and HR tools in order to better sustain EVS' HR strategy. Simultaneously, it was decided to implement talent management as the HR department is focused on their employee engagement and all topics related. This thesis explores the different tools and processes that were put in place in the company.

Abstract

The family business has historically been seen as a haven for both family and business problems, the net result being that few families persist into the second generation and fewer still into the third and subsequent generations. Recent research has taken issue with this all-encompassing pronouncement and has suggested that those family businesses that persist into future generations have positive qualities that have been overlooked.

Abstract

This book is a primer on corporate governance for large, publicly held companies in the United States, the system that defines the distribution of rights and responsibilities among different participants in a corporation, such as the board, managers, shareholders, and other stakeholders, and spells out the rules and procedures for making decisions on corporate affairs. As with any complex system, corporate governance functions best when all of its constituent elements work in harmony, when each performs its assigned role, with the right incentives, properly aligned interests, and the right tools for the job. The turbulent history of corporate governance in recent years is testimony that this has not always been the case.

Abstract

Most individuals who move into leadership positions experience the modern day version of trial by ordeal. It's sink or swim. To reduce the learning curve and create a more effective process, Leader Evolution describes a road map for leadership development, a series of four stages that expand personal competence as well as create a broader impact on the organization or business. Each stage requires unique changes in thinking, perspective taking, and behavior, both those needed to acquire as well as those needed to jettison. The book is a pragmatic approach for self-motived individuals to take control of their professional development by giving them the concepts, tools, techniques, and assignments to develop their leadership effectiveness where it counts the most--on the job. In addition to new and existing managers, the book is ideally suited for technical professionals and leaders in technical organizations looking to develop critical leadership behaviors distinct from technical expertise. These include individuals who are moving on a technical rather than managerial track. The broad application of concepts and techniques also makes this book appealing to organizations developing their leaders as part of broad change initiatives. While the concepts and principles are directed toward the individual for on-the-job application, the book serves as an organizational and leadership development resource for Executive MBA programs as well as a blueprint for in-house leadership development programs.

Abstract

Over the years, the succession planning has raised a real fascination in the mind of the taxpayers. The paramount of this art is to be able to combine in a unique tool both the active management - maintaining a certain control and a regular income - and the succession according to the taxpayer's needs. The aim is to allow the optimized transfer of goods at the time of the deceased’s death.
A large number of Belgian residents are obsessed with the idea that a small part of the population referred as the High Net Worth Individuals, may use different holding structures to evade or to reduce their tax burden. They morally condemn the use of this estate planning by the H.N.W.I. even if it is not illegal in facts.
The purpose of this thesis is to study if the use of the Grand Duchy of Luxembourg’s holding companies such as the SO.PAR.FI. and the S.I.Ca.V.-S.I.F. still offers “a tax optimization with regards to the Belgians’ succession planning?”. This will be achieved through an in-depth analysis of the SO.PAR.FI. which is fully eligible to the Double Taxation Agreements and which is fully subject to Luxembourg’s corporate tax and minimum wealth tax. In addition, it will be demonstrated why the attractiveness of the S.I.Ca.V.-S.I.F. is now reduced despite the unique levy of a limited annual tax. In fact, due to its portfolio risk aversion and diversification constraints as well as the recent evolution of the Belgian legislation, this holding structure will be useless in achieving the Belgian paterfamilias’ objective of tax optimization.
In addition, this paper will study the benefits for a Belgian resident to move to the Grand Duchy of Luxembourg: the step-up principle and the 0% rate of succession rights in direct line.

Abstract

"In 2015, an anonymous source leaked the so-called Panama Papers, 11.5 million documents detailing financial and attorney-client information and connecting over 140 ultra-wealthy individuals across 50 countries to offshore companies in 21 tax havens. Journalists and scholars have attempted to chart these complex networks in the wake of various scandals but have learned very little. The focus on high-profile cases of egregious theft leaves a shroud of uncertainty over the mechanics behind the invisible, mundane networks of people who facilitate illicit activities by conducting transactions across multiple sovereigns. Playing in the Gray focuses on the constant and quiet movement of money through offshore shell corporations, the primary motor of global capital. Hoang takes a deep-dive into the emerging markets of Vietnam and Myanmar. Over the course of two years, she travelled more than 350,000 miles to conduct ethnographic observations and interviews with 300 individuals who facilitate the movement of capital around the world. Her research subjects include private wealth managers, fund managers, chairpeople, local entrepreneurs, high-level executives, lawyers, bankers, auditors, and company secretaries, each playing an essential role in circulating concealed capital through global markets. She draws on this data to develop a new framework for understanding what she calls spiderweb capitalism, which she defines as a system that features a complex web of subsidiaries that are interconnected across multiple sovereigns and are virtually impossible to quantify. She argues that legal and illegal activity are in fact deeply connected in this web and provides an account of how financial elites make markets in the new globalized economy"--
